1. Acceptance

1.1 By accessing or using the website you agree to be bound by these Terms of Use. If you continue to browse and use this website you are agreeing to comply with and be bound by these Terms, which together with our Privacy Policy govern Our Square’s relationship with you in relation to your use of this website. If you do not agree, do not use the website.

1.2 These Terms may be updated from time to time. The current version is published on the website with an effective date. Material changes will be notified by a notice posted on the website and by email to registered users.

1.3 It is your responsibility to check these Terms regularly prior to using the website to ensure you are aware of any changes. If you use the website, we consider that conclusive evidence of your agreement to, and acceptance of, the Terms then in force.

1.4 It is an essential precondition to your use of the website that you agree that, to the extent permitted by law and subject to clause 7, Our Square is not legally responsible for any loss or damage you might suffer related to your use of the website, whether from errors or omissions in our documents or information, or from any other use of the website, including your use of or reliance on any third-party content, links, comments, or advertisements. Your use of, or reliance on, any information or materials on this website is entirely at your own risk.

2. Nature of the service

2.1 Our Square is a marketplace platform that connects Queensland land buyers with sellers and licensed professional service providers (“Specialists”). Our Square is not itself a party to any transaction between users.

2.2 Our Square verifies certain Specialist credentials before listing (including QBCC licence numbers, QLS practising certificates, ACL numbers, and AFSL numbers) and re-verifies QBCC licences against the Queensland Government public register on an ongoing (nightly) basis. Our Square does not warrant the ongoing accuracy of listed credentials beyond those checks, the quality of any user’s work, or the outcome of any transaction.

2.3 Users are solely responsible for their own due diligence, engagement decisions, and transactions.

2.4 Specialists are independent third parties. They are not employees, agents, partners, or representatives of Our Square, and Our Square takes no responsibility for any advice received from a Specialist or any Third Party.

2.5 You are responsible for ensuring that any products, services, or information available through this website meet your specific requirements. You acknowledge that information and materials on the website may contain inaccuracies or errors, and, subject to clause 7, we exclude liability for such inaccuracies or errors to the fullest extent permitted by law.

2.6 Referred entities. If Our Square refers you to a person or entity from whom Our Square derives, or expects to derive, a benefit (whether monetary or otherwise), a “Referred Entity”, Our Square will disclose the existence and nature of that relationship to you before or at the time of the referral. As at the effective date, Our Square receives no referral fees, commissions, or other transaction-linked benefits from any Specialist or seller.

3. User accounts

3.1 You may browse the website, and use the public “build my team” journey, without an account. Certain features (saving specialists and land across devices, managing multiple lists, listing land or services) require an account.

3.2 You must provide accurate information when creating an account and keep it up to date. Providing false information may result in account suspension.

3.3 You are responsible for keeping your credentials secure and for all activity under your account.

3.4 Our Square uses passwordless magic-link authentication. Links are single-use and expire after 72 hours. You may optionally set a password on your account.

3.5 Accounts may be automatically deleted after prolonged inactivity, in accordance with Australian Privacy Principle 11.2. Warning emails are sent before deletion. See the Privacy Policy for detail.

4. Content and conduct

4.1 You must not:

(a) Use the website for any unlawful purpose or in breach of any Australian law;

(b) Post content that is false, misleading, defamatory, or infringing;

(c) Circumvent access controls, bot protections, or interfere with the website’s security;

(d) Scrape, harvest, or systematically extract data from the website;

(e) Use automated tools (bots, scrapers) except with prior written consent;

(f) Impersonate another person, verify an email address you do not control, or misrepresent your credentials;

(g) Send unsolicited commercial messages via the platform.

5. Intellectual property

5.1 This website contains material which is owned by or licensed to Our Square, including the design, layout, look, appearance, trademarks (whether registered or unregistered), and graphics. Our Square expressly reserves all copyright and trademark rights in all documents, information, and materials on the website.

5.2 Content submitted by users (listings, photos, descriptions) remains owned by the submitter. By submitting content, you grant Our Square a worldwide, royalty-free, non-exclusive licence to use, reproduce, and display that content for the purpose of operating the marketplace and marketing it, subject to the requirements of relevant Privacy Legislation as detailed in our Privacy Policy.

5.3 You must not transmit website Content to any other website or platform, and you must not store Content in any other website, database, archive, or electronic retrieval system, except as expressly authorised in writing by us.

5.4 When providing a copy of Content to individual third parties for their personal use, you must acknowledge the website as the source of the material.

5.5 We reserve the right to take action against you if you breach these terms restricting the use of our copyright and trademarks.

6. Third-party content and links

6.1 Listings on the website are supplied by users. Our Square does not verify every claim in every listing and, beyond the checks described in clause 2.2 and the Seller Listing Agreement, makes no representation about their accuracy.

6.2 External links are provided for convenience. Our Square is not responsible for third-party websites.

6.3 No statement or comment made by a Third Party in any publication on the website represents Our Square’s views.

7. Consumer Guarantees

7.1 Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law where such exclusion, restriction, or modification would be void or unlawful.

8. Warranties and liability

8.1 To the maximum extent permitted by law, Our Square disclaims all warranties, express or implied, not expressly stated in these Terms, including implied warranties of merchantability and fitness for a particular purpose, save for any guarantee or warranty implied by statute that cannot lawfully be excluded.

8.2 Subject to clause 7, we do not warrant that:

(a) The website will be uninterrupted or available at any particular time;

(b) Any document, information, goods, or services will be free of errors, or that defects will be corrected;

(c) The website or the server that makes it available is free of viruses or other harmful components.

8.3 Subject to clauses 7 and 8.5, Our Square’s aggregate liability under or in connection with these Terms is limited to the fees paid by the user to Our Square in the 12 months preceding the claim, or AUD$100 for users who have paid no fees.

8.4 Subject to clauses 7 and 8.5, Our Square is not liable for indirect or consequential loss, including loss of profits, business, or opportunity, howsoever caused.

8.5 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited by law.

9. Suspension and termination

9.1 Subject to applicable law, including anti-discrimination legislation, Our Square may suspend or terminate access to the website at any time for breach of these Terms, suspected fraud, or on 30 days’ written notice for any other reason.

9.2 Termination does not affect accrued rights or obligations.

10. Confidentiality

10.1 If we are required by law to disclose any Confidential Information to a third person (including, but not limited to, a government body), we will endeavour to notify you and give you a reasonable opportunity to take any steps you consider necessary to protect the confidentiality of that information, and will notify the third person that the information is your confidential information.

11. Dispute resolution and governing law

11.1 These Terms are governed by the laws of the State of Queensland and the Commonwealth of Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland, the courts of the Commonwealth of Australia, and any court that may hear appeals from those courts.

11.2 Each party waives any objection to proceedings being brought in those courts on the basis of inconvenience or alternative forum.

11.3 Before commencing proceedings, parties must attempt in good faith to resolve any dispute by direct negotiation for at least 21 days.

12. Definitions

12.1 “Confidential Information” means information disclosed by a user that is not publicly available, including but not limited to client details.

12.2 “Content” means any material posted, uploaded, or transmitted through the website.

12.3 “Intellectual Property” means all proprietary rights and interests owned, created, developed, or used by Our Square, whether registered or unregistered, including copyrights, trademarks, business names, logos, patents, designs, trade secrets, know-how, confidential information, software, databases, inventions, processes, methodologies, branding, marketing materials, and any applications or rights to apply for registration of any of the foregoing.

12.4 “Laws” means the governing laws of the State of Queensland and the Commonwealth of Australia.

12.5 “Privacy Legislation” means any legislation and regulations regulating the collection, use, storage, disclosure, or handling of information or data about individuals, including the Privacy Act 1988 (Cth) as amended from time to time.

12.6 “Referred Entity” means a person or entity Our Square refers a user to and from whom Our Square derives, or expects to derive, a benefit, whether monetary or otherwise.

12.7 “Specialist” means a professional service provider listed on the marketplace.

12.8 “Third Party” means any person or entity who is not a party to an agreement but may be involved, affected, or referenced in its performance.

12.9 “User”, “you”, “your” means any person accessing or using the website. “Us”, “we”, “our” means Our Square as operator of the website, and includes its successors and assigns.
